Lymm Oughtrington Park CC - Club Constitution


 

The Constitution of Lymm Oughtrington Park Cricket Club – 2006

The club shall be called Lymm Oughtrington Park Cricket Club, hereafter to be referred to as “the Club” and shall be affiliated to the England & Wales Cricket Board

Aims and Objectives

To foster and promote cricket at all levels within the community and within the sport, providing opportunities for recreation, coaching and competition.

To manage the pavilion and facilities and ground located at Oughtrington Lane, Lymm

To ensure a duty of care to all members of the Club by adopting and implementing the ECB ‘Safe Hands — Welfare of Young People in Cricket’ Policy and any future versions of the Policy.

To ensure a duty of care to all members of the Club by adopting and implementing the ECB Equity Policy Statement and any future versions of the Policy.

Membership

Membership of the club shall consist of officers of the club and members Membership of the club shall be open to all irrespective of age, gender, disability, race, ethnic origin, creed, colour, social status or sexual orientation.

All members will be subject to the regulations of the constitution and by joining the club will be deemed to accept these regulations and codes of conduct that the club has adopted.

There shall be (number) of classes of membership available. These are:

• Full Member

• Junior Member (Under 18 years of age)

• Associate Member

• Social Member

• Family Membership

• Honorary Member (i.e. any Life Member or Vice President)

Only Full Members, current Committee Members, Junior Members over the age of 16 and Honorary members have the right to vote at an Annual General Meeting (AGM) or a Special General Meeting (SGM).  Junior members under 16 may be given the right to vote on motions as defined by the Management Committee in advance of the AGM/SGM.

Officers

The officers of the club shall be as follows:

  • President - Non-Executive Officer
  • Chairman
  • Vice Chairman
  • Secretary
  • Treasurer
  • Fixtures Secretary
  • 1st XI Captain
  • 1st XI Vice-Captain
  • 2nd XI Captain
  • 2nd XI Vice Captain
  • Sunday XI Captain
  • Junior Organizer
  • Child Welfare Officer(s)
  • League Representative
  • Committee Member(s)
  • Co-opted Member(s)

Election of Officers

All officers shall be elected at the AGM of the club, from, and by, the members of the club.

All Officers are elected for a period of one year, but may be re-elected to the same office or another office the following year.

General Committee (GC)

The affairs of the club shall be conducted by a General Committee (GC) comprising of the Executive Officers of the Club and others elected by those Members entitled to vote at the AGM, and those who may, from time-to-time, be co-opted by the GC. Only these members of the GC shall be entitled to vote at Committee meetings

Committee Meetings.

The GC will be convened by the Secretary and shall meet at agreed intervals and not less than four times per year.

The quorum required for business to be agreed at GCs shall be four(4)

The duties of the GC shall be:

a To control the affairs of the Club on behalf of the members.

b To keep accurate accounts of the finances of the club through the Treasurer. These should be available for reasonable inspection by members and should be audited before every AGM. The Club shall maintain a bank current account and the following officers shall be authorised to sign club cheques: two from the Chairperson, Treasurer and Secretary.

c To co-opt additional members of the GC as the GC feel this is necessary. Co-opted members shall  be entitled to a vote on the Committee.

d To make decisions on the basis of a simple majority vote. In the case of equal votes, the Chairperson shall be entitled to an additional casting vote.

The GC will be responsible for adopting new policy, codes of conduct and rules that affect the organization of the club.

The GC will have powers to appoint sub-committees as necessary and appoint advisers to the GC as necessary to fulfill its business.

The GC will be responsible for disciplinary hearings of members who infringe the club rules/regulations/ constitution. The GC will be responsible for taking any action of suspension or discipline following such hearings.

General  Meetings

The AGM of the club shall be held not later than the end of November each year. 21 clear days written notice shall be given to members of the AGM by circulating a copy of the notice to every member at their home address or by E Mail and by posting the notice on the club website. Members must advise the Secretary in writing of any other business to be moved at the AGM at least 14 days before a meeting. The Secretary shall circulate or give notice of the agenda for the meeting to Members not less than 7 days before the meeting.

The business of the AGM shall be to:

a Confirm the minutes of the previous AGM and any General Meetings held since the last AGM

b Receive the audited accounts for the year from the Treasurer

c Receive the annual report of the GC from the Secretary

d Elect an auditor

e Elect the Officers of the Club

f Review club subscription rates and agree them for the forthcoming year. This may be delegated to the GC at the meeting’s discretion

g Transact such other business received in writing by the Secretary from Members 14 days prior to the meeting and included on the agenda

Special General Meetings (SGMs) may be convened by the GC or on receipt by the Secretary of a request in writing from not less than ten (10) Full Members of the club.

At least 21 days notice of the meeting shall be given.

Nominations from candidates for election of Offices shall be made in writing to the Secretary at least 14 days in advance of the AGM date. In the absence of written  nominations, unopposed nominations can be received on the night. Nominations can only be made by Full Members and must be seconded by another Full Member.

At all General Meetings, the Chair will be taken by the Chairperson or, in their absence, by a deputy appointed by the Club or by Full Members attending the meeting.

Decisions made at a General Meeting shall be by a simple majority vote from those Full Members attending the meeting. In the event of equal votes, the Chairperson shall be entitled to an additional casting vote.

A quorum for a General Meeting shall be 10 Full Members and those categories of membership entitled to vote (as outlined by the membership section of this constitution) and Officers of the Club including 2 from the Chairperson, Secretary and Treasurer.

Each Full Member of the Club shall be entitled to one vote at General Meetings.

The GC has the right to call a SGM outside the AGM. Procedures for SGMs will be the same as for the AGM.

Alterations To The Constitution

Any proposed alterations to the Club Constitution may only be considered at an AGM or SGM, convened with the required written notice of the proposal. Any alteration or amendment must be proposed by a Full Member of the Club and seconded by another Full Member. Such alterations shall be passed if supported by not less than two-thirds of those Full Voting Members present at the meeting, assuming that a quorum has been achieved.

Finance

All surplus income or profits are re invested in the Club. No surplus or assets will be distributed to members or third parties.

All club monies shall be banked in an account in the name of the club The Treasurer will be responsible for the finances of the club. The financial year will end on 31st October

The Treasurer will present an audited statement of annual accounts at the AGM

Any cheques drawn against club funds should hold the signatures of the Treasurer plus up to two officers

Discipline and Appeals

All complaints regarding the behavior of members should be lodged in writing with the Secretary. The GC shall appoint a disciplinary sub-committee who will meet to hear complaints within 7 days of a complaint being lodged. The GC (or its sub-committee) has the power to take appropriate disciplinary action, including the termination of membership.

The outcome of the disciplinary hearing shall be put in writing to the person who lodged the complaint and the member against whom the complaint was made within 5 days following the hearing.

There shall be a right of appeal to the GC following disciplinary action being given. The GC shall appoint an Appeals Committee drawn from the members not involved with the initial disciplinary hearing consider the appeal within 7 days of the Secretary receiving the appeal.

Trustees

The GC shall appoint not more than 4 Trustees and the property of the Club (other than cash which shall be under the control of the Treasurer) including the power to charge, sublet or mortgage the same shall be vested in them, to be dealt with as the GC shall from time-to-time direct by resolution.

The Trustees shall be indemnified against risk and expense out of the Club property. Trustees shall hold office until death, resignation or until otherwise removed from office. The existing Trustees shall, as directed by the GC, nominate and appoint new Trustees.

The Trustees shall, on the direction of the GC, represent the Club in any litigation.

The liability of the Trustees and Officers of the Club shall be limited to the assets of the Club and they shall not be personally liable for any claim made against the Club.

Dissolution

If at any General Meeting of the Club, a resolution (which must be unanimously supported by the Trustees) be passed, calling for the dissolution of the Club, the Secretary shall immediately convene a SGM of the Club to be held not less than one month thereafter to discuss and vote on the resolution.

If at that Special Meeting, the resolution is carried by at least two-thirds of the Full Voting Membership present at the meeting, the GC shall thereupon, or at such date as shall have been specified in the resolution, proceed to realise the assets of the Club and discharge all debts and liabilities of the Club.

After discharging all debts and liabilities of the Club, the remaining assets shall not be paid or distributed amongst the Full Members of the Club, but shall be given or transferred to the local County Board or any another voluntary cricket organization in the area having objects similar to those of the Club.

Declaration

The Lymm Oughtrington Park Cricket Club hereby adopts and accepts this constitution as a current operating guide regulating the actions of members
